Notable Experience

  • Advent on the acquisition of Nuvei for $6.3 billion.
  • Charlesbank Capital Partners on its investment in Perspective Financial Group.
  • IK Partners on the sale of its controlling interest to Wendel.
  • Financial services regulatory considerations in relation to major transactions (including fundraisings, minority investments, acquisitions of control and restructuring).
  • Regulatory change management and general advisory (including MiFID / MiFIR, CRR / CRD, BRRD, EMIR, AIFMD, PSD 2 / EMD, the FCA handbook (e.g. client asset / money rules governance, systems and controls, conduct of business, SMCR), cryptoasset regulation, consumer credit and financial crime (including MAR, the MLRs and POCA)).
  • International expansion projects and global roll out of new products and business lines in the regulatory environment.
  • Regulatory engagement including assisting clients with authorisation applications, regulatory investigations and correspondence with regulators relating to matters of interest (including during legislative consultation periods, market reviews and responding to information requests).
  • Engagement with third party counterparties to financial institutions and negotiation of related agreements in the context of the provision of regulated and other financial services.
